The Italian automaker has agreed to acquire the 41.5 percent stake in Chrysler it does not already own from a United Automobile Workers health care trust for $4.35 billion. Sullivan & Cromwell is representing longtime client Fiat in the matter, while Skadden is advising Chrysler's independent directors and Stroock is acting as counsel to Brock Fiduciary, the investment adviser managing the UAW trust's Chrysler stake.
