An online agreement requiring individuals to consent to certain terms by clicking “accept” or “OK” is a valid contract that is enforceable under Delaware law, the state’s Court of Chancery has ruled.

The court released the opinion when it issued a temporary restraining order preventing a former employee of a baby goods manufacturer from contacting her previous employer’s clients, using its trade secrets or recruiting former co-workers. In the opinion, the court said the employee, Sandy Storm, signed off on a noncompete contract when she assented to accept restricted stock units through her previous employer’s website.
